Terms of Service

From everyone at SenseGuard, thank you for using our products and services. We build them to help organizations detect, understand, and manage digital and operational risk. Because we do not know every customer personally, these Terms of Service help set clear expectations and protect both you and us.

When we say "Company," "we," "our," or "us," we are referring to SenseGuard, Inc.

When we say "Services," we mean all SenseGuard websites, applications, dashboards, APIs, integrations, and related products or services provided by the Company, whether delivered via web, desktop, mobile application, or other formats.

When we say "You" or "your," we are referring to the individual or organization that owns or controls an account with one or more of our Services.

We may update these Terms of Service ("Terms") from time to time. When we make material changes, we will update the "Last updated" date and take reasonable steps to notify account holders. Continued use of the Services constitutes acceptance of the current Terms.

These Terms include important provisions that limit our liability.

If you violate these Terms, we may suspend or terminate your account. We aim to exercise this discretion responsibly and transparently.

Account Terms

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You may not use the Services for unlawful, abusive, or harmful purposes, or in violation of any applicable laws or regulations.

You are responsible for all content, data, and activity associated with your account, including actions taken by authorized users.

Accounts must be registered and operated by humans unless automated access is expressly authorized (e.g., via API usage).

Electronic communications and alerts

This section applies to users of the Services located in the United States.

When you create an account, you accept these Terms and our Privacy Policy through the registration process. That acceptance governs your use of the Services in general. It does not, by itself, constitute your consent to receive text messages from SenseGuard.

Consent for SMS is requested separately and expressly at account registration (for example, via its own checkbox and disclosure shown clearly on the form, not only as part of Terms or Privacy acceptance). By checking that opt-in and providing a valid mobile number where required, you agree that SenseGuard may send you SMS messages at that number for the purposes described in that disclosure and on our alerts page.

Email alerts for SenseGuard Monitoring may be sent to addresses you provide when you accept these Terms and our Privacy Policy and configure your account, subject to your notification settings.

SMS and email messages for SenseGuard Monitoring may include account-related notices and operational monitoring alerts (for example, sensor events, threshold alerts, and device status). SenseGuard does not use SMS to send promotional or marketing messages for SenseGuard Monitoring.

SMS alerts are sent using toll-free SMS messaging. Each SMS includes a reminder that you may reply STOP to opt out of future SMS alerts to that number.

You are responsible for providing accurate email addresses and phone numbers and for ensuring you have the right to receive alerts at those contact points. Your account may include multiple email addresses and phone numbers; alerts may be sent to each contact point you enable in accordance with your account settings.

Payment, Refunds, and Plan Changes

Some Services may be offered free of charge, while others require payment.

Paid Services are billed in advance according to the plan selected.

Failure to pay applicable fees may result in suspension or termination of access to the Services.

Fees are exclusive of all applicable taxes, duties, or government assessments, which you are responsible for paying.

Refunds, if any, are issued in accordance with our posted refund or billing policies.

Cancellation and Termination

You may cancel your account at any time through the account management tools provided within the Services.

Upon cancellation or termination, access to the Services will cease, and your data may become inaccessible.

We may permanently delete account data following cancellation or termination, subject to our data retention practices.

We reserve the right to suspend or terminate access to the Services at any time for violations of these Terms or to protect the integrity, security, or availability of the Services.

Abuse or harassment of SenseGuard employees, contractors, or representatives may result in immediate termination.

Modifications to the Services and Pricing

We may modify, update, discontinue, or replace any part of the Services at any time.

Pricing and plan structures may change. When changes affect existing customers, we will provide reasonable advance notice when practicable.

Uptime, Security, and Privacy

The Services are provided on an "as is" and "as available" basis without warranties of any kind.

We take reasonable measures to protect customer data, including technical and organizational safeguards.

You acknowledge that no system is completely secure and that use of the Services is at your own risk.

We process personal data in accordance with our Privacy Policy and applicable data protection laws.

We may access account data only when necessary to:

• Provide customer support
• Maintain service reliability and security
• Investigate abuse or misuse
• Comply with legal obligations

Copyright and Content Ownership

You retain ownership of all content and data you submit to the Services.

You grant SenseGuard a limited, non-exclusive license to use your content solely to operate and provide the Services.

The Services, including all underlying software, designs, and intellectual property, are owned by SenseGuard or its licensors.

You may not copy, modify, distribute, or reverse engineer any portion of the Services without express written permission.

Features and Bugs

We strive to deliver reliable and well-tested Services, but no software is free from defects. We do not guarantee that the Services will meet all of your requirements or operate without interruption or error.

API and Integrations

If SenseGuard provides APIs:

Your use of the API is subject to these Terms.

We are not responsible for third-party applications or integrations that access the Services.

Excessive, abusive, or harmful API usage may result in throttling, suspension, or termination of access.

Limitation of Liability

To the fullest extent permitted by law, SenseGuard shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from or related to your use of or inability to use the Services, regardless of the legal theory asserted.

Monitoring Disclaimer

You expressly acknowledge and agree that the Services are intended to provide monitoring, alerting, and informational insights only. SenseGuard does not guarantee that all events, incidents, threats, damages, anomalies, or risks will be detected, identified, reported, or prevented.

SenseGuard shall not be liable for any damages, losses, or harm arising from (i) events, incidents, or damages that are detected or reported by the Services, (ii) events, incidents, or damages that are not detected or reported by the Services, or (iii) false positives, inaccurate alerts, delayed alerts, or erroneous assessments generated by the Services.

You remain solely responsible for evaluating the information provided by the Services and for any actions or decisions taken in response to such information. The Services are not a substitute for independent judgment, professional advice, or other safeguards.

Use of the Services is at your own risk.
